Welcome to Skynet! By signing up for a Skynet Account (as defined in Section 1) or by using any Skynet Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).

As used in these Terms of Service, “we,” “us,” “our,” and “Skynet” means Skynet AI LLC., a Texas limited liability company with its registered agent being Texan Registered Agent LLC, located at 5900 Balcones Drive, Suite 100, Austin, TX 78731. “You” means the Skynet User (if registering for or using a Skynet Service as an individual), or the business employing the Skynet User (if registering for or using a Skynet Service as a business) and any of its affiliates.

Skynet AI LLC. provides a comprehensive platform and agency services focused on business launch and digital presence. Our core offerings include:

  • Building online shopping platforms.
  • Developing online education platforms.
  • AI website content generation.
  • AI chat bot development.
  • Launch services to build a sales-based website and assist customers in launching their business.
  • Assisting users with the creation of their LLC.

Any such service or services offered by Skynet are referred to in these Terms of Services as the “Service(s)“. Any new features or tools which are added to the current Services will also be subject to the Terms of Service. You can review the current version of the Terms of Service at any time at https://skynet.ai/legal/terms/.

You must read, agree with and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including Skynet’s Acceptable Use Policy (“AUP“) and Privacy Policy, before you may sign up for a Skynet Account or use any Skynet Service.

Everyday language summaries are provided for convenience only and appear in each section, but these summaries are not legally binding. Please read the Terms of Service, including any document referred to in these Terms of Service, for the complete picture of your legal requirements. By using Skynet or any Skynet services, you are agreeing to these terms. Be sure to occasionally check back for updates.


1. Account Terms

Which means: You are responsible for your Account, the Materials you upload to the Skynet Service, and the operation of your resulting platform or business launched using our Services. If you violate Skynet’s terms of service, we may cancel your service access. If we need to reach you, we will communicate via the Primary Email Address.

1.1 Account Registration and Eligibility

To access and use the Services, you must register for a Skynet account (“Account“). To complete your Account registration, you must provide us with your full legal name, business address, phone number, a valid email address, and any other information indicated as required. Skynet AI LLC. may reject your application for an Account, or cancel an existing Account, for any reason, at our sole discretion.

You must be the older of: (i) 18 years, or (ii) at least the age of majority in the jurisdiction where you reside and from which you use the Services to open an Account.

You confirm that you are receiving any Services provided by Skynet for the purposes of carrying on a business activityand not for any personal, household, or family purpose.

1.2 Communication and Security

You acknowledge that Skynet will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you (“Primary Email Address“). You must monitor the Primary Email Address you provide to Skynet, and your Primary Email Address must be capable of both sending and receiving messages. Your email communications with Skynet can only be authenticated if they come from your Primary Email Address.

You are responsible for keeping your password secure. Skynet cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password. We may request additional security measures at any time and reserve the right to adjust these requirements at our discretion.

Technical support in respect of the Services is only provided to Skynet Users. Questions about the Terms of Service should be sent via our [Contact Us Page].

1.3 Service Restrictions

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission by Skynet.

You agree not to work around, bypass, or circumvent any of the technical limitations of the Services, including, but not limited to, using any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble, or otherwise reverse engineer the Services.

You agree not to access the Services or monitor any material or information from the Services using any robot, spider, scraper, or other automated means.

1.4 Data and Materials

You understand that your Materials may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. “Materials” means Your Trademarks, copyright content, any products or services you sell through the Services (including description and price), and any photos, images, videos, graphics, written content, audio files, code, information, product reviews, or other business content and data provided or made available by you or on your behalf to Skynet or its affiliates.


2. Account Activation

Which means: Only one person can be the “Account Owner,” usually the person signing up for the Service. The Account Owner is responsible for the Account, is bound by these Terms of Service, and is responsible for the actions of others accessing the Account. If you sign up on behalf of your employer, your employer is the Account Owner responsible for your Account. We may create certain payment or service accounts for you, and you are responsible for managing them and complying with their third-party terms.

2.1 Account Owner

Subject to Section 2.1.2 (Employer Accounts), the person signing up for the Service by opening an Account will be the contracting party (“Account Owner“) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding Account we may provide in connection with the Service. You are responsible for ensuring that the name of the Account Owner (including the legal name of the company that owns the Skynet Site/Platform, if applicable) is clearly visible on the resulting platform’s website.

If you are signing up for the Services on behalf of your employer, your employer will be the Account Owner. If you are signing up for the Services on behalf of your employer, then you must use your employer-issued email address and you represent and warrant that you have the authority to bind your employer to our Terms of Service.

Your resulting platform (whether hosted by Skynet or on a third-party website) can only be associated with one Account Owner. An Account Owner may have multiple Skynet Sites or Platforms. The term “Platform” or “Skynet Site” means the online shopping platform, education platform, or other sales-based website launched or managed through the Account.

2.2 Staff Accounts

Based on your Skynet pricing plan, you can create one or more staff accounts (“Staff Accounts“) allowing other people to access the Account. Each Staff Account must include a full legal name and a valid email account. With Staff Accounts, the Account Owner can set permissions and let other people work in their Account while determining the level of access by Staff Accounts to specific business information.

The Account Owner is responsible for: (a) ensuring its employees, agents, and subcontractors, including those accessing via Staff Accounts, comply with these Terms of Service; and (b) any breach of these Terms of Service by the Account Owner’s employees, agents, or subcontractors. The Account Owner acknowledges and agrees that the Account Owner will be responsible for the performance of all of its obligations under the Agreement, regardless of whether it sublicenses or subcontracts any such obligations to any third party, including but not limited to any affiliates or subsidiaries of the Account Owner.

The Account Owner and the users under Staff Accounts are each referred to as a “Skynet User“.

2.3 Third-Party Payment and Service Accounts

Upon completion of sign-up for the Service, Skynet may facilitate the creation or activation of certain payment processing accounts and accelerated checkout options on your behalf (“Third-Party Payment Accounts“).

You acknowledge that any such Third-Party Payment Accounts will be your default payments gateway(s) and that it is your sole responsibility as the Account Owner to activate, manage, and maintain these accounts. If you do not wish to keep any of these accounts active, it is your responsibility to deactivate them. For the avoidance of doubt, all Third-Party Payment Accounts are considered Third Party Services, as defined in Section 9.

By using any activated Third-Party Payment Accounts on your Skynet Site or Platform, you agree to be bound by the respective third-party provider’s terms of service, merchant agreements, and other policies, as they may be amended from time to time. Your continued use of such services constitutes your agreement to, and acceptance of, the third-party provider’s amended terms. If you do not agree to any changes to their terms, you must deactivate or cease use of that service.


3. Skynet Rights

Which means: Skynet has the right to control who we make our Services available to, and we can modify them at any time. We also have the right to refuse or remove Materials from any part of the Services, including your Platform. We may offer our services to your competitors, but we will never share your confidential information with them in doing so. In the event of an ownership dispute over a Skynet Account, we can freeze a Skynet Account or transfer it to the rightful owner, as determined by us.

3.1 Service Modification and Refusal

The Services have a range of features and functionalities. Not all Services or features will be available to all Users at all times, and we are under no obligation to make any Services or features available in any jurisdiction. Except where prohibited in these Terms of Service or by applicable law, we reserve the right to modify the Services or any part thereof for any reason, without notice and at any time.

It is in Skynet’s sole discretion to refuse or remove any Materials from any part of the Services, including if we determine in our sole discretion that the goods or services that you offer through the Services, or the Materials uploaded or posted to the Services, violate our AUP (Acceptable Use Policy) or these Terms of Service.

Verbal or written abuse of any kind (including threats of abuse or retribution) of any Skynet employee, member, or officer will result in immediate Account termination.

3.2 Competitive Use

We reserve the right to provide our Services to your competitors and make no promise of exclusivity. You further acknowledge and agree that Skynet employees and contractors may also be Skynet customers or merchants and that they may compete with you, although they may not use your Confidential Information (as defined in Section 6) in doing so.

3.3 Account Ownership Disputes

In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government-issued photo ID, the last four digits of the credit card on file, or confirmation of your status as an employee of an entity.

Skynet reserves the right to determine, in our sole discretion, rightful Account ownership and transfer an Account to the rightful Account Owner. If we are unable to reasonably determine the rightful Account Owner, without prejudice to our other rights and remedies, Skynet reserves the right to temporarily suspend or disable an Account until resolution has been determined between the disputing parties.


4. Your Responsibilities

Which means: You are responsible for your Skynet Site or Platform, the goods or services you sell (including their quality and legality), and your entire relationship with your customers, not us. If you utilize any of the Skynet APIs, your use is subject to the corresponding API Terms.

4.1 Required Disclosures and Compliance

You acknowledge and agree to provide public-facing contact information, terms of service, a refund policy, and shipping policies (including order fulfillment timelines) on your Skynet Site or Platform. Public-facing contact information should include your name, address, telephone number, and a readily accessible link to your [Contact Us Page]. You should inform your customers if you use a third-party supplier for goods or services.

You represent and warrant that you will comply with all applicable laws, rules, regulations, and rights of third parties in your use of any of the Service and your performance of obligations under the Terms of Service.

4.2 Merchant of Record Status

You acknowledge and agree that the Services provided by Skynet are not a marketplace, and any contract of sale made through the Platforms you build using our Services is directly and only between you and the customer. You are the seller or merchant of record for all sales through the Services. You are responsible for the creation and operation of your Skynet Site or Platform, your Materials, the goods and services that you may sell through the Services, and all aspects of the transactions between you and your customer(s).

4.3 Transaction Liability

This includes, but is not limited to, contracting with and maintaining compliance with a Third-Party Payment Processor (such as Stripe Connect) to facilitate customer transactions. You are responsible for authorizing the charge to the customer in respect of the customer’s purchase, determining and collecting taxes, managing refunds and returns, fulfilling any sales or customer service, handling fraudulent transactions, providing required legal disclosures, ensuring regulatory compliance, addressing any alleged or actual violation of applicable laws (including but not limited to consumer protection laws in any jurisdiction where you offer products or services for sale), or your breach of these Terms of Service. For the avoidance of doubt, Skynet is not the seller or merchant of record and has no responsibility for your Platform, your Materials, the goods or services you may sell through the Services, or any aspect of the transaction between you and your customer(s).

4.4 API and Checkout Use

The API Terms govern your access to and use of any Skynet API. You are solely responsible for the activity that occurs using your API Credentials and for keeping your API Credentials secure.

You agree to use the checkout experience provided or facilitated by Skynet for any sales associated with your online platform. “Skynet Checkout” means the checkout experience provided by Skynet or its designated third-party processors that allows Customers to enter their shipping information and payment details after adding item(s) to their cart and before placing an order.


5. Payment of Fees and Taxes

Which means: A valid payment method (such as a credit card) must remain on file to pay all service fees, including the subscription, transaction, and additional fees required for all Accounts. You will be billed for your Subscription Fees every 30 days. If we are unable to process payment of Fees using your payment method, we may suspend your access. You are responsible for all taxes relating to your use of the Services and the sales you make. No refunds are provided.

5.1 Fees Structure

You will pay the Fees applicable to your subscription to the Services (“Subscription Fees“) and any other applicable fees, including but not limited to applicable fees relating to the value of sales made through your Platform (“Transaction Fees“), and any fees relating to your purchase or use of any products or services such as domain names, apps, or Third Party Services (“Additional Fees“). Together, the Subscription Fees, Transaction Fees, and the Additional Fees are referred to as the “Fees“.

5.2 Authorized Payment Method and Billing

You must keep a valid payment method on file with us to pay for all incurred and recurring Fees. Skynet will charge applicable Fees to any valid payment method that you authorize (“Authorized Payment Method“), and Skynet will continue to charge the Authorized Payment Method for applicable Fees until the Services are terminated, and any and all outstanding Fees have been paid in full. Unless otherwise indicated, all Fees and other charges are in U.S. dollars, and all payments will be in U.S. currency.

Subscription Fees are paid in advance and will be billed in 30-day intervals (each such date, a “Billing Date“). Transaction Fees and Additional Fees will be charged from time to time at Skynet’s discretion. You will be charged on each Billing Date for all outstanding Fees that have not previously been charged.

5.3 Failure to Pay

If we are not able to process payment of Fees using an Authorized Payment Method, we may make subsequent attempts to process payment using any Authorized Payment Method. If we are unable to successfully process payment of Fees using an Authorized Payment Method within 28 days of our initial attempt, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon your payment of any outstanding Fees. If the outstanding Fees remain unpaid for 60 days following the date of suspension, Skynet reserves the right to terminate your Account in accordance with Section 14.

5.4 Taxes

All Fees are exclusive of applicable federal, provincial, state, local, or other governmental sales, goods and services, harmonized, or other taxes, fees, or charges now in force or enacted in the future (“Taxes“).

You are responsible for all applicable Taxes that arise from or as a result of your subscription to or purchase of Skynet’s products and services. You are solely responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges, and additional charges that arise from or as a result of any sale on your Platform or your use of the Services.

5.5 No Refunds

Skynet does not provide refunds. There will be no refunds for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an active Account.


6. Confidentiality

Which means: Both you and Skynet agree to use the Confidential Information of the other only to perform the obligations in these Terms of Service. Confidential Information must be protected and respected.

6.1 Definition of Confidential Information

Confidential Information” will include, but will not be limited to, any and all information associated with a party’s business and not publicly known, including specific business information, technical processes and formulas, software, customer lists, prospective customer lists, names, addresses and other information regarding customers and prospective customers, product designs, sales, costs (including any relevant processing fees), price lists, and other unpublished financial information, business plans and marketing data, and any other confidential and proprietary information, whether or not marked as confidential or proprietary. Skynet’s Confidential Information includes all information that you receive relating to us, or to the Services, that is not known to the general public, including information related to our security program and practices.

6.2 Obligation to Protect

Each party agrees to use the other party’s Confidential Information solely as necessary for performing its obligations under these Terms of Service and in accordance with any other obligations in these Terms of Service, including this Section 6. Each party agrees that it will take all reasonable steps, at least substantially equivalent to the steps it takes to protect its own proprietary information, to prevent the duplication, disclosure or use of any such Confidential Information, other than:

  • (i) by or to its employees, agents and subcontractors who must have access to such Confidential Information to perform such party’s obligations hereunder, who each will treat such Confidential Information as provided herein, and who are each subject to obligations of confidentiality to such party that are at least as stringent as those contained herein; or
  • (ii) as required by any law, regulation, or order of any court of proper jurisdiction over the parties and the subject matter contained in these Terms of Service, provided that, if legally permitted, the receiving party will give the disclosing party prompt written notice and use commercially reasonable efforts to ensure that such disclosure is accorded confidential treatment.

6.3 Exclusions

Confidential Information will not include any information that the receiving party can prove: (A) was already in the public domain, or was already known by or in the possession of the receiving party, at the time of disclosure of such information; (B) is independently developed by the receiving party without use of or reference to the other party’s Confidential Information, and without breaching any provisions of these Terms of Service; or (C) is thereafter rightly obtained by the receiving party from a source other than the disclosing party without breaching any provision of these Terms of Service.


7. Limitation of Liability and Indemnification

Which means: We are not responsible for damages or lawsuits that arise if you break the law, breach this agreement, or go against the rights of a third party. The Service is provided on an “as is” and “as available” basis. We explicitly disclaim that we are not a law firm or professional consultant.

7.1 Disclaimer of Professional Advice

Skynet is not a law firm, tax professional, accountant, or financial advisor. The Services, including platform tools, AI content generation, and any assistance provided to the Merchant for establishing an LLC or filing business forms, are provided for informational and administrative purposes only. Skynet does not provide legal, tax, or professional advice. Your use of any information or tools provided by Skynet is at your sole risk. You should consult a qualified professional for advice regarding your specific legal, tax, accounting, or business needs. Skynet shall not be liable for any losses or damages arising from your reliance on the Services for professional advice.

7.2 Disclaimer of Warranties

“As Is” Service THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYNET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SKYNET DOES NOT WARRANT THAT: (I) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (II) THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (III) ANY THIRD-PARTY SOFTWARE (INCLUDING WORDPRESS CORE, PLUGINS, OR THEMES) OR THIRD-PARTY INFRASTRUCTURE (INCLUDING VULTR OR OTHER DATA CENTERS) WILL BE FREE FROM SECURITY BREACHES, BUGS, OR CATASTROPHIC FAILURES.

7.3 Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT Skynet AI LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SKYNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (III) THE FAILURE OF THIRD-PARTY PLUGINS OR INFRASTRUCTURE PROVIDERS; OR (IV) CATASTROPHIC DATA LOSS.

IN NO EVENT SHALL SKYNET’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO SKYNET DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

7.4 Infrastructure and Third-Party Software

The Service is a managed environment utilizing a proprietary configuration of third-party infrastructure (e.g., Vultr) and various third-party software components (collectively, “Third-Party Tools”).

  1. No Warranty: Skynet makes no warranties regarding the uptime, security, or performance of Third-Party Tools.
  2. Backup Responsibility: SKYNET IS NOT RESPONSIBLE FOR THE LOSS OF MERCHANT DATA. WHILE SKYNET MAY PERFORM ROUTINE BACKUPS, CLIENT ACKNOWLEDGES THAT IT IS SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT, OFF-SITE BACKUPS OF ALL MERCHANT CONTENT. LOSS OF DATA BY SKYNET OR ITS THIRD-PARTY HOSTING PARTNERS SHALL NOT CONSTITUTE A BREACH OF THESE TERMS.
  3. Non-Disclosure of Tech Stack: The specific configuration and selection of Third-Party Tools used by Skynet are considered proprietary trade secrets and will not be disclosed to the Client.

7.5 Indemnification

You agree to indemnify, defend, and hold harmless Skynet AI LLC and its parent (Wyoming Holding Entity), subsidiaries, affiliates, partners, officers, directors, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (a) your breach of these Terms of Service or the documents they incorporate; (b) your violation of any law or the rights of a third party; (c) any content you host on Skynet’s platform; or (d) any dispute between you and your customers. This obligation survives the termination of your account.

You will be responsible for any breach of the Terms of Service by your affiliates, agents, or subcontractors and will be liable as if it were your own breach.


8. Intellectual Property and Your Materials

Which means: Anything you upload remains yours (if it was yours) and is your responsibility, but Skynet can use and publish the things you upload. Anything uploaded remains the property and responsibility of its initial owner. However, Skynet will receive a license of materials published through our platform that we may use to operate and promote our Services.

8.1 Your Materials and Licenses

We do not take ownership of the Materials that you provide to Skynet; however, we do require a license to your Materials. You hereby grant Skynet a non-exclusive, transferable, sub-licensable, royalty-free, worldwide right and license to host, use, distribute, expose, modify, run, copy, store, publicly perform, communicate to the public (including by telecommunication), broadcast, reproduce, make available, display, and translate, and create derivative works of your Materials. We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve, and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.

You represent, warrant, and agree that you have all necessary (a) rights in the Materials to grant this license, and (b) rights and consents to make available to Skynet to use or process any Materials or information collected from or about an individual associated with such Materials that is subject to protection under applicable data privacy laws or regulations.

You grant Skynet a non-exclusive, transferable, sub-licensable, royalty-free, worldwide right and license to use the names, trademarks, service marks, and logos associated with your Platform (“Your Trademarks“) to operate, provide, and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.

8.2 Skynet Intellectual Property

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission by Skynet.

You agree that you may not use any trademarks, logos, or service marks of Skynet, whether registered or unregistered, including but not limited to the word mark SKYNET and the corresponding logo or design marks (“Skynet Trademarks“) unless you are authorized to do so by Skynet in writing. You agree not to use or adopt any marks that may be considered confusing with the Skynet Trademarks.

You agree not to purchase, register, or use search engine or other pay-per-click keywords (such as Google Ads), trademarks, email addresses, social media names, or domain names (including without limitation top-level domains, sub-domains, and page URLs) that use or include Skynet or Skynet Trademarks or that use or include any terms that may be confusing with the Skynet Trademarks.


9. Additional Services

Which means: Any specialized features we offer beyond the core platform—including integrations for payments, logistics, or AI tools—are subject to additional terms and may involve third-party providers.

9.1 Scope

Skynet may make available certain services, products, applications, and tools, in addition to the core Services, including but not limited to, specialized payment integration tools, logistics features, point-of-sale (POS) features, or network optimization tools (collectively, “Additional Services“). Your use of, and access to, any Additional Services is subject to these Terms or, in some cases, may be subject to additional and separate fees, terms, and policies (the “Additional Service Terms“).

9.2 Enhanced Services and Network Intelligence

Certain Additional Services help protect, grow, and improve your business and the businesses of other Skynet users through enhanced features that incorporate data and information from customer interactions with Your Platform, with other Skynet Users, and with Skynet, such as advanced customization, analytics, and advertising services (the “Enhanced Services“).

You expressly agree that if you receive Enhanced Services, you will comply with all requirements that apply to your customer Personal Data under Applicable Data Protection Law and as set forth in our Data Processing Addendum.

9.3 Additional Platform Features (e.g., AI, Messaging, Logistics)

Skynet may offer certain features to enhance the functionality of your Platform, including but not limited to:

  • AI Content Generation/Ad Agency: If you use tools like AI content generation or Ad agency services(running ads), you acknowledge that Skynet makes no warranty regarding the accuracy or effectiveness of the output, and you are solely responsible for verifying the content and ensuring it complies with all advertising laws before use.
  • Physical Sales Systems: Services enabling physical, in-person transactions and related equipment.
  • Logistics & Fulfillment: Services enabling the purchase of shipping labels or connection to fulfillment partners.
  • Messaging: Services enabling the sending of communications to customers via email or SMS messaging (“Messaging Services”).

Your access and use of these additional platform features are subject to specific requirements and the terms of any Third-Party Providers utilized to offer them.

9.4 Themes and Customization

You may establish the appearance of your Platform with a design template from Skynet or a partner repository (“Theme“). If you download a Theme, you are licensed to use it for a single Platform only. You may modify the Theme to suit your Platform, but the intellectual property rights of the Theme remain the property of the designer. You are responsible for ensuring your Theme does not violate any third-party rights.

9.5 Third Party Services and Third Party Partners

Skynet may provide you with access to or enable third party software, applications (“Apps“), products, services, or website links (collectively, “Third Party Services“) for your consideration or use. Your use of Third Party Services is entirely at your own risk and discretion, and it is your responsibility to read the terms and conditions between you and the applicable third party services provider (“Third Party Provider“), including those governing payment processing (e.g., Stripe Connect).

We do not provide any warranties or make representations to you with respect to Third Party Services or Third Party Providers. You agree to indemnify and hold us harmless from any claim or demand, including reasonable attorneys’ fees, arising out of your use of a Third Party Service or your relationship with a Third Party Provider.

9.6 Beta Services

From time to time, Skynet may invite you to use, on a trial basis, pre-release or beta features (“Beta Services“). Skynet makes no representations or warranties that the Beta Services will function and may discontinue them at any time in its sole discretion. Skynet will have no liability for any harm or damage arising out of or in connection with a Beta Service.

9.7 Pixel and Extensibility Manager

Skynet allows you to add tracking elements or extensions to your Platform (“Pixel and Extensibility Manager“). You will comply with all applicable laws and obtain all necessary consents from every site visitor and customer whose events you track. You agree that Skynet may disable any tracking elements or extensions that Skynet identifies as malicious or as contravening these Terms of Service, in Skynet’s sole discretion.


10. Feedback and Reviews

Which means: Any ideas, suggestions, or testimonials you give us about the Services are entirely ours to use, modify, and publish without compensating you.

10.1 Grant of Rights to Feedback

Skynet welcomes any ideas and suggestions regarding improvements or additions to the Services (“Feedback“). By submitting Feedback, you agree that:

  • Skynet is not under any obligation of confidentiality with respect to the Feedback.
  • Skynet is free to use or disclose the Feedback without any restriction or compensation to you.
  • You grant Skynet a non-exclusive, perpetual, worldwide, transferable, royalty-free, irrevocable license to use, reproduce, modify, distribute, display, and perform the Feedback for any purpose.

By submitting Feedback to Skynet (whether submitted directly to Skynet or posted on any Skynet hosted forum or page), you irrevocably waive any and all rights in the Feedback (including any moral rights) in favor of Skynet, and Skynet is free to implement and use the Feedback without obtaining permission or license from you.

10.2 Use of Testimonials and Reviews

If you provide testimonials, reviews, or other content regarding the Services, you grant Skynet the right to use, publish, and display such content, including your name or username, in connection with the promotion and marketing of the Services in any media.


11. Intellectual Property Infringement

Which means: If you believe that content hosted on our Services is infringing your intellectual property rights (such as copyright or trademark), you can report it to us using the designated procedure. We will investigate the claim and take appropriate action.

11.1 Reporting Procedure

Skynet respects the intellectual property rights of others and expects Skynet Users to do the same. If you believe that a Skynet User is infringing your intellectual property rights, you can notify us by submitting a detailed report.

If you believe content hosted on our platform infringes your intellectual property rights, you must report it to us by clicking [here] to be directed to our Intellectual Property reporting page, which provides the required information for a legal notice (including compliance with the Digital Millennium Copyright Act, or DMCA, where applicable).

11.2 Skynet’s Right to Act

Upon receiving a valid and complete report of alleged infringement, Skynet may remove or disable access to the Materials claimed to be infringing. Skynet reserves the right to determine, in its sole discretion, whether the Materials violate these Terms of Service or our AUP (Acceptable Use Policy).

We reserve the right to suspend or terminate the Account of any user who receives multiple valid infringement claims or who is deemed by Skynet to be a repeat infringer.


12. Privacy and Data Protection

Which means: We handle your personal information (as the merchant) and your customers’ personal information in accordance with our separate Privacy Policies and Data Processing Addendum (DPA), which are key legal documents you must agree to.

12.1 Merchant Personal Data

Skynet’s collection, use, disclosure, and processing of your personal information (the data collected when you sign up for or use the Account) is governed by our separate Merchant Privacy Policy. By using the Services, you acknowledge that Skynet will collect, use, and disclose your personal information as set forth in the Merchant Privacy Policy.

12.2 Customer Personal Data and Compliance

If you use the Services to process personal data of individuals who visit or make purchases through your Platform (“Customer Personal Data“), you acknowledge and agree that you are the Data Controller (or equivalent under applicable data protection laws) of such data.

The collection, use, disclosure, and processing of Customer Personal Data is governed by these Terms, Skynet’s Data Processing Addendum (DPA), and Skynet’s Consumer Privacy Policy.

12.3 Merchant Obligations

You agree to comply with all applicable data protection laws, rules, and regulations (including, but not limited to, the GDPR and CCPA, where applicable) in relation to your collection, use, and processing of Customer Personal Data. You must prominently post and comply with your own privacy policy on your Platform, which must accurately disclose to your customers how you collect, use, and disclose their personal data.

12.4 International Data Transfers

If you are subject to the requirements of the GDPR or similar laws, the terms of the Data Processing Addendum (DPA) govern how Skynet will process Customer Personal Data on your behalf. By accepting these Terms of Service, you are confirming your acceptance of the DPA.


13. Skynet Contracting Party and Jurisdiction

Which means: Your contract is with our Texas-based LLC, and any major legal disputes must be filed in Austin, Texas, under Texas and U.S. Federal law.

13.1 Contracting Party

The Skynet Contracting Party that you are entering into an agreement with is Skynet AI LLC., a Texas limited liability company with its registered agent located in Austin, Texas.

13.2 Governing Law

The Terms of Service will be governed by and interpreted in accordance with the laws of the State of Texas and the federal laws of the United States applicable therein, without regard to principles of conflicts of laws. The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly excluded.

13.3 Jurisdiction and Venue

The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Austin, Travis County, Texas, for any dispute or claim arising out of or in connection with the Terms of Service. Each party waives any objection to the laying of venue in such courts and agrees not to plead or claim in any Texas court that such litigation brought in any such court has been brought in an inconvenient forum.


14. Term and Termination

Which means: This contract lasts until you or Skynet terminates it. We can terminate your account at any time for any reason. If we terminate your account, you lose access immediately, and any fees you owe become due.

14.1 Term of Agreement

The term of these Terms will begin on the date of your completed registration for a Skynet Account and will continue until terminated by either Skynet or you in accordance with the provisions of this Section 14.

14.2 Merchant Termination

You may cancel your Account and terminate the Terms at any time via your Platform’s administrative console or by contacting us via the [Contact Us Page]. Upon termination, you remain responsible for all outstanding Fees incurred up to the end of the current billing cycle.

14.3 Skynet Termination

We may suspend or terminate your Account or the Terms of Service for any reason, without notice and at any time (unless otherwise required by law), including but not limited to: (a) Violation of the Terms of Service or AUP; (b) Non-payment of Fees for sixty (60) days; or (c) Evidence that you are no longer operating a viable business.

14.4 Consequences of Termination & Access

Upon termination of the Services by either party for any reason:

  1. Skynet will immediately cease providing Services, and your access to the Platform, administrative console, and live website will be disabled.
  2. Unless otherwise provided, you are not entitled to any refunds.
  3. Any outstanding balance becomes immediately due and payable.

14.5 Data Portability and Proprietary Systems

Skynet operates as a Software-as-a-Service (SaaS) provider. Our platform is a proprietary configuration of software, licensed plugins, and custom design elements.

  1. Ownership of Content: You retain ownership of all original text, images, and customer data uploaded to the Service.
  2. Proprietary Configuration: You do not own the website files, theme code, plugin software, or the “System” configuration. These are provided under a limited license that expires immediately upon termination.
  3. Data Return Policy: Upon written request within seven (7) days of termination, and provided all fees are paid in full, Skynet will provide a one-time export of your Raw Data in a standard format (e.g., a .sql database file or .csv).
  4. License Deactivation: Client acknowledges that the data export may contain embedded license keys or API credentials for third-party software (e.g., Premium WordPress Plugins). THESE LICENSES ARE THE SOLE PROPERTY OF SKYNET. Skynet reserves the right to remotely deactivate all such licenses upon termination. Client is strictly prohibited from using, transferring, or attempting to renew these licenses on any third-party host.
  5. Data Deletion: We reserve the right to permanently delete all of your Materials from our servers fourteen (14) days following termination.

15. Modifications to the Service and Prices

Which means: We can change the Services and the prices at any time. We will give you notice for any changes that materially affect you, and 30 days’ notice for price changes. Your continued use of the Services after notice is provided constitutes your acceptance of the changes.

15.1 Modifications to the Services

We reserve the right to update or change any portion of the Services or the Terms of Service at any time. We will provide you with reasonable advance notice of changes that materially adversely affect your use of the Services or result in the deprecation of material functionality. Skynet will not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

15.2 Price Changes

Skynet may change the Fees for the Services (including Subscription Fees, Transaction Fees, and Additional Fees) from time-to-time. We will provide you with 30 days advanced notice prior to any changes in Fees by posting the changes on the Skynet website or by notifying you using the Primary Email Address provided in your Account.

15.3 Acceptance of Changes

Your continued use of the Services after any such modifications or amendments to the Terms of Service, including any changes to the Fees, are implemented constitutes your acceptance of those modifications or amendments and your agreement to be bound by them. If you do not agree to any such changes, you must cease using the Services and terminate your Account as set forth in Section 14.


16. General Conditions

Which means: These terms are the entire agreement between us. If one part is invalid, the rest of the contract still applies. Key sections related to liability and payment survive termination of your account, meaning you remain bound by them even after you stop using the Services.

16.1 Entire Agreement

The Terms of Service, including all documents it incorporates by reference (such as the AUP, Privacy Policies, DPA, and API Terms), constitute the entire agreement between you and Skynet and govern your use of the Services and your Account, superseding and replacing any prior agreements between you and Skynet (including, but not limited to, any prior versions of the Terms of Service).

16.2 Waiver and Severability

The failure of Skynet to exercise or enforce any right or provision of the Terms of Service will not constitute a waiverof such right or provision.

If any provision, or portion of the provision, in these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, then such invalidity, illegality, or unenforceability will not affect any other provision (or the unaffected portion of the provision) of the Terms of Service. In such cases, the Terms of Service will be construed as if such invalid, illegal, or unenforceable provision had never been contained within the Terms of Service, and the remaining provisions will remain in full force and effect (Severability).

16.3 Governing Law and Language

The Terms of Service will be governed by and interpreted in accordance with the laws of the State of Texas and the federal laws of the United States applicable therein, as further detailed in Section 13 (Skynet Contracting Party and Jurisdiction), without regard to principles of conflicts of laws.

To the extent of any inconsistencies or conflicts between these English Terms of Service and Skynet’s Terms of Service available in another language, the most current English version of the Terms of Service will prevail.

16.4 Assignment

All the terms and provisions of the Terms of Service will be binding upon and inure to the benefit of the parties to the Terms of Service and to their respective heirs, successors, permitted assigns and legal representatives.

Skynet will be permitted to assign these Terms of Service without notice to you or consent from you. You will have no right to assign or otherwise transfer the Terms of Service, or any of your rights or obligations hereunder, to any third party without Skynet’s prior written consent, to be given or withheld in Skynet’s sole discretion.

16.5 Survival

On termination, all related rights and obligations under the Terms of Service immediately terminate, except that (a) you will remain responsible for performing all of your obligations in connection with transactions entered into before termination and for any liabilities that accrued before or as a result of termination; and (b) the following sections will survive the termination or expiration of these Terms of Service and continue to bind both parties:
